Seok Cho

Dear employees of HD Hyundai Electric,

Celebrating the 50th anniversary of our HD Hyundai Group, along with the new slogan of 「Another 50 years, Fresh new Initiative」, we have been making our best effort to conduct Ethics & Compliance management.

This commitment is to form the basis for sustainable growth and prosperity of our company, accommodating to the increasing public demands and responsibility in respect of ‘Clear & Fair Competition based on the relevant Laws and Principles’.

The public needs for fair competition have now been systematically implemented as the relevant legislations such as Conflict of Interest Prevention Act, Fair Transactions In Subcontracting Act (revised) have been enacted. Furthermore, the current trend has also required multinational companies to comply with the due diligence for ESG supply chains.

Promoting safer and healthier workplace is our top priority. In order to comply with the recently enacted Serious Accidents Punishment Act, a Chief Safety Officer (CSO) has been assigned to develop and monitor high level of safety management for our company.

We will constantly monitor to check whether our internal control system complies with the areas of ethics, anti-corruption, anti-bribery, safety and health in a comprehensive and systematic manner. Furthermore, we will develop, improve and implement internal policies and procedures to address and mitigate regulatory compliance risks, if required. It is essential that we always devote our minds to Ethics & Compliance, so that we can be the leading company with carbon neutrality initiative in electric and energy industries for another coming 50 years.

Fair Trade Compliance Program
The Fair Trade Compliance Program, or Compliance Program (CP), is an internally established program to understand and encourage the company’s compliance with relevant Fair trade laws. It is a part of our diverse activities to enhance compliance management systems and corporate value. The Compliance Program has been implemented since April 2019 in accordance with the CEO's 'Declaration of Fair Trade Compliance Conduct' to become a more trusted company by strengthening activities to prevent violations of fair competition laws by employees and to eliminate any and all unethical business practices.
Targets of the Fair Trade Compliance Program and Responsibilities of Employees
This Compliance Program applies to all of our employees. All executives and employees of the company must comply with the Fair Trade Compliance Rules for their work, and if they have witnessed any violations of fair competition laws, they are required to report such activities to the Compliance Manager. All executives and employees must also review the possibility of violating fair competition laws in the performance of their duties and request advice and consultation from the Compliance Manager when in need.
Roles and Responsibilities of the Compliance Manager
The company has appointed a Compliance Manager by the resolution of the Board of Directors to ensure the successful establishment of the compliance program, and the Compliance Manager should establish and enforce the company's policies related to the Compliance Program by reflecting then revised Fair trade laws. For the smooth operation of the Compliance Program, the company has appointed a compliance assistant for each department to ensure full compliance with the Compliance Program. The Compliance Manager is obliged to inspect and monitor work performance and report to the Board of Directors. Furthermore, the Compliance Manager should assist employees to understand their duties and distribute a Fair trade compliance manual as well as establish a training plan for employees to provide training in the areas where there is potential risk of violations in order for the company to preemptively prevent possible violations in advance.
